1. Agreement to These Terms

These Terms of Use govern your access to and use of datastub.us and any content, features, or tools available through it (the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

The Site is operated by Datastub US LLC (“Datastub,” “we,” “us,” or “our”), a limited liability company formed in Wyoming with offices at 205 Van Buren Street, Suite 120, Herndon, VA 20170.

2. Using the Site Does Not Create a Professional Relationship

This is the most important section on this page. Visiting the Site, reading our content, submitting a contact form, booking a consultation, or exchanging emails or calls with us does not create an accountant-client, CPA-client, bookkeeper-client, tax preparer-client, or advisory relationship between you and Datastub.

A professional relationship begins only when both of the following have occurred:

  1. We have issued a written engagement letter describing the specific services to be performed; and
  2. You have signed and returned it.

Until that happens, we have no obligation to perform services for you, no duty to advise you, and no responsibility for deadlines, filings, or decisions relating to your business. Do not rely on anything on this Site, or on any preliminary conversation with us, as a substitute for engaging a professional.

Where an engagement letter exists and its terms differ from these Terms of Use, the engagement letter controls as to the services it covers.

3. Content Is General Information, Not Professional Advice

Everything on the Site, including service descriptions, blog posts, guides, FAQs, examples, and any AI-assisted summaries, is general information published for educational purposes. It is not accounting, tax, legal, investment, or financial advice, and it is not tailored to your circumstances.

Tax and accounting rules change, vary by jurisdiction, and depend heavily on specific facts. Something accurate on the date it was published may be outdated by the time you read it. Consult a qualified professional about your situation before acting.

Client results described on the Site reflect the circumstances of those particular engagements. They are not a prediction or guarantee of the results you will obtain.

4. Permitted and Prohibited Use

You may use the Site for lawful purposes: learning about our services, contacting us, and evaluating whether to engage us.

You agree not to:

  • Use the Site in violation of any applicable law or regulation.
  • Copy, reproduce, republish, or redistribute Site content except as permitted in Section 5.
  • Scrape, crawl, harvest, or use automated means to extract data from the Site, except for search engine crawlers operating in accordance with our robots.txt file.
  • Use the Site or its content to train a machine learning or artificial intelligence model without our written permission.
  • Attempt to gain unauthorized access to any part of the Site, its servers, or connected systems.
  • Introduce malware, or interfere with the operation, security, or availability of the Site.
  • Submit false, misleading, or fraudulent information through our forms.
  • Use our contact forms or email addresses to transmit unsolicited commercial messages.
  • Impersonate any person or misrepresent your affiliation with any person or organization.

5. Intellectual Property Rights

The Site and its contents, including text, graphics, logos, icons, illustrations, page layouts, and the selection and arrangement of content, are owned by Datastub or its licensors and are protected by United States and international intellectual property laws.

The Datastub name, logo, and the tagline “Crunch. Strategize. Deliver.” are trademarks of Datastub US LLC. You may not use them without our written permission.

Limited permission. You may view, download, and print pages from the Site for your own internal business or personal reference, provided you do not remove any copyright or proprietary notices. Any other use, including republication, commercial use, or incorporation into another product or service, requires our written consent.

Names of third-party software and platforms mentioned on the Site, including QuickBooks, Xero, Gusto, and ADP, are the trademarks of their respective owners. Reference to them does not imply endorsement by or affiliation with those companies unless we state otherwise.

6. Information You Submit

When you submit information through our forms or send it to us by email, you confirm that the information is accurate and that you have the right to provide it.

Do not send confidential or sensitive information through the Site. Our contact forms and general email are not secure channels. Do not use them to send Social Security numbers, Employer Identification Numbers, bank account or credit card numbers, payroll registers, tax returns, or login credentials. Once we are engaged, we will provide a secure method for exchanging documents.

If you send us suggestions, feedback, or ideas about our services or the Site, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or compensation to you. We will not treat them as confidential.

How we handle personal information you submit is described in our Privacy Policy.

The Site links to and embeds third-party services, including our scheduling tool, accounting software providers, and external articles and resources. We do not control those services and are not responsible for their content, availability, security, or practices. Your use of them is governed by their own terms and privacy policies.

The Site also includes features that direct your query to third-party artificial intelligence tools. Responses generated by those tools are produced by the third party, not by Datastub. We do not control, review, or endorse their output, and it is not advice from us.

8. Availability of the Site

We aim to keep the Site available and accurate, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also update or remove content, including these Terms, as described in Section 12.

11. Indemnification

You agree to indemnify, defend, and hold harmless Datastub and its members, managers, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.

12. Changes to These Terms

We may revise these Terms at any time. When we do, we will update the “Last updated” date at the top of this page. Changes take effect when posted. Your continued use of the Site after changes are posted means you accept the revised Terms. Review this page periodically.

13. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles.

You agree that any action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and you consent to the personal jurisdiction of those courts.

If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local law.

14. General Terms

Severability
If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force.
No waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
Entire agreement
These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and Datastub regarding the Site, and supersede any prior understandings about it.
Assignment
You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

Section headings are for convenience only and do not affect interpretation.
